Cleanvid Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Cleanvid (the "Service"), operated by SUYOO Tech ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Definitions

"User Content" means any video, image, audio, text, or other materials you upload to the Service.
"Output" means any processed content generated by the Service, including but not limited to watermark removal, object removal, and enhancement results.
"AI Processing" means automated processing performed by machine learning and computer vision algorithms.
"Credits" means the usage units consumed when you submit tasks for processing on the Service.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to use the Service. If you do not meet this requirement, you must not use the Service.

2.2 Account Security

You are responsible for safeguarding your account credentials and all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. Payment, Credits, and Refunds

The Service operates on a credit-based system. Pricing and the credit consumption rules are displayed on the Service interface and may be updated from time to time.

3.1 Credit System

Credit usage: The Credits required for a task are shown in the interface based on the task type and content duration/size.
When Credits are deducted: Credits are deducted when you submit a task.
Failed tasks: If a task fails due to a Service-side technical error, the deducted Credits will be returned to your account. We may refuse or reverse refunds in cases of fraud, abuse, chargebacks, or other violations of these Terms.

3.2 Subscription Cancellation

How to cancel: You may cancel your subscription at any time through your account settings.
Effect of cancellation: Your subscription will remain active until the end of the current billing period. You will not be charged for the next billing cycle.

3.3 Refund Policy

Refunds (if any) are subject to the rules shown in the Service interface and may depend on the purchase type, usage, and fraud/abuse signals.

A. For One-Time Purchases (Pay-As-You-Go)

Used Credits: Non-refundable.
Unused Credits: You may request a refund for the unused portion of your Credits. The refund amount may be calculated on a pro-rata basis.

B. For Subscriptions

No refunds for current period: Subscription fees are non-refundable for the current billing cycle (month or year), regardless of whether the Credits have been used, unless required by applicable law.
If you cancel, you will continue to have access to your subscription benefits until the end of your current billing period.

4. User Content, License, and Data Handling

4.1 Ownership

You retain all rights and ownership of your User Content.

4.2 License to Us (Limited Purpose)

You grant us a limited, worldwide, non-exclusive, royalty-free license to process, host, transmit, and store your User Content and Output solely to provide and operate the Service, including performing AI Processing and making the Output available for you to download.

4.3 No Training on User Content

We do not use your User Content or Output to train our machine learning or AI models.

4.4 Retention and Deletion

Retention window: User Content and Output are retained for up to 24 hours to provide the Service and enable downloads.
Deletion: After 24 hours, User Content and Output are scheduled for deletion. Deletion may not be immediate in all cases (for example, due to queued jobs, backups, or incident recovery processes), but we will delete within a reasonable period.
Operational records: We may retain limited technical logs, billing records, and account records for longer periods as required for security, fraud prevention, customer support, legal compliance, and dispute resolution. Such records generally do not include your full User Content files.

4.5 Your Backup Responsibility

You are solely responsible for keeping backups of your original files. Do not upload the only copy of any important content.

5. Acceptable Use, Rights, and High-Risk Scenarios

5.1 Your Representations and Warranties

You represent and warrant that:

You own the User Content you upload or have obtained all necessary licenses, permissions, and authorizations to upload, process, and modify it.
Your use of the Service and the creation and use of any Output will comply with all applicable laws and regulations.
You have obtained any necessary consents (including from people appearing in the content) required by applicable privacy, publicity, and data protection laws.

5.2 Watermark, Logo, and Copyright-Related Restrictions

Watermarks, logos, subtitles, and other identifiers may be protected by copyright, trademark, or other laws. You must not use the Service to remove watermarks, logos, or similar identifiers from content you do not own or do not have permission to modify.

5.3 Prohibited Use

You agree not to use the Service to:

Process content that is illegal, defamatory, harassing, hateful, or that exploits or endangers minors.
Infringe or misappropriate intellectual property rights, including copyright and trademark rights.
Remove watermarks, platform logos, or broadcaster marks from pirated or unauthorized copies of content.
Violate privacy, publicity, or personality rights, including processing content containing sensitive personal data without authorization.
Create or distribute deceptive, misleading, or fraudulent content (including impersonation or malicious deepfakes).
Reverse engineer, scrape, probe, or attempt to disrupt the Service, including bypassing access controls or rate limits.
Use the Service to develop competing products, or to benchmark the Service in a manner that harms the Service.

6. Copyright Complaints and Enforcement

If you believe content processed using the Service infringes your rights, you may contact us with sufficient information to locate the content and verify your identity/authority. We may remove access to content, suspend accounts, or take other actions as appropriate. We may, in our discretion, terminate accounts of repeat infringers.

7. AI Processing Disclaimer (Quality and Fitness)

The Service uses AI Processing. Due to the nature of AI Processing, Output may be imperfect and may contain artifacts, distortions, incomplete removals, or other unexpected results. You acknowledge and agree that:

We do not guarantee that the Output will meet your expectations or requirements.
We do not guarantee any specific level of quality, accuracy, or "undetectability" of edits.
You are responsible for reviewing and verifying the Output before using, publishing, or relying on it.

8. Service Availability, Changes, Suspension, and Termination

8.1 "AS IS" and "AS AVAILABLE"

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 Service Changes

We may change, suspend, or discontinue the Service (in whole or in part) at any time, including modifying features, task limits, pricing, or credit rules. Where required by applicable law, we will provide notice.

8.3 Suspension and Termination

We may suspend or terminate your access to the Service if we reasonably believe you violated these Terms, created risk or possible legal exposure for us, or used the Service in a fraudulent or abusive manner.

9. Intellectual Property Rights

The Service (excluding User Content and Output) including its software, models, algorithms, code, and visual design is the exclusive property of SUYOO Tech and its licensors. Except as expressly stated in these Terms, no rights are granted to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless SUYOO Tech from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from:

Your User Content or Output.
Your use of the Service.
Your violation of these Terms.
Your violation of any third-party rights (including copyright, trademark, privacy, or publicity rights).

11. Limitation of Liability

To the maximum extent permitted by applicable law:

In no event shall SUYOO Tech be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, goodwill, or data.
Our total liability for any claims arising out of or relating to the Service is limited to the amount you paid us in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. If you are a consumer, you may have certain mandatory rights under local law.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. You agree to submit to the exclusive jurisdiction of the courts of Hong Kong, to the extent permitted by applicable law and without prejudice to any mandatory consumer protection rights.

13. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date at the top indicates when changes were made. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
